1. The Service

sipsip.ai provides AI-powered tools to transcribe video content, generate daily content briefs from YouTube channels and TikTok accounts, and summarize podcast episodes (the "Service").

We reserve the right to modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice. We will use reasonable efforts to provide advance notice of material changes.

2. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at legal@sipsip.ai if you suspect unauthorized access to your account.
• You may not transfer your account to another person or entity without our prior written consent.

You agree not to use the Service to:

• Infringe any third-party intellectual property rights, including copyright, trademark, or patent rights.
• Submit or process content that is unlawful, defamatory, obscene, or otherwise objectionable.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service without our prior written consent.
• Circumvent or attempt to circumvent any access controls, rate limits, or security measures of the Service.
• Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.
• Violate any applicable local, national, or international law or regulation.

The Service processes publicly available content from third-party platforms including YouTube, TikTok, and podcast feeds. We do not host, store, or redistribute this content. You are solely responsible for ensuring that your use of the Service complies with the terms of service of those platforms and all applicable copyright and intellectual property laws.

We provide transcription and summarization as a tool for personal use and research. We make no representations regarding the lawfulness of any particular use case.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated transcriptions and summaries may contain inaccuracies and should not be relied upon as definitive or professional advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIPSIP.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $50.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless sipsip.ai and its operators, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

You may cancel your account at any time by contacting us at legal@sipsip.ai. Upon cancellation, your access to paid features will continue until the end of the current billing period.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, with or without prior notice. In the event of termination for cause, you will not be entitled to a refund of prepaid fees.

Upon termination of your account, your personal data will be retained for 30 days and then deleted, unless you request immediate deletion or we are required by law to retain it.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Nothing in this clause prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

If you are located in the EEA or UK, mandatory local consumer protection laws may apply and may provide you with additional rights.

13. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will notify registered users by email at least 14 days before the changes take effect and update the "Last updated" date above. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.
